Partner program terms

1. What this covers

These terms are between you and Adrien Marsden, an independent developer of web and mobile apps (adrienmarsden.com). Partners share an app with their audience and are paid a share of revenue from customers they refer. For now, partner earnings come only from Widdle subscriptions bought on widdle.app (see Pricing). Other apps, and any purchase made through the App Store, earn nothing under these terms.

When you join through an app, you also accept the partner agreement shown there. It says the same things in more detail; where it and these terms differ, the agreement applies, except for section 10 here, which always applies.

2. Who can join

• Open to everyone 18 or older who can enter a contract where they live. There is no approval step.
• Joining is free, and there is nothing to buy.
• You can join, share and earn without a payout account. A Stripe account is needed only to receive money (section 7).
• Adrien Marsden can disable a partner or a code that breaks these terms (section 8).

3. Attribution

Each partner gets a personal invite link and a personal promo code.

• A customer counts as yours when they use your code at checkout, or arrive through your link and use no other code.
• A code typed at checkout takes priority over a link.
• Attribution is fixed at a customer’s first paid month.
• Your own purchases, including ones made with your own card, code or link, earn nothing.

4. Rates

Each partner picks a split. Renewals included.

• Shares are worked out on what a customer actually pays, after any discount and before sales tax or VAT.
• Tier 2: when someone you brought in becomes a partner, you get 5% of their customers’ payments, on top of what they earn. There is no third tier.
• Partners are paid only on customer purchases. Nothing is paid for sign-ups or for recruiting partners.
• You can switch between the two splits (15% off for followers and 20% to you, or full price and 35% to you) at most once every 30 days. A switch applies to payments after it.
• Custom rates are available by negotiation and apply once agreed in writing. A custom rate replaces the first-tier rate only; tier 2 stays 5%.

5. How long you earn

You earn on every payment from a customer attributed to you, renewals included, for as long as that customer keeps paying. Earnings on a customer stop when they cancel.

6. Refunds and disputes

A refunded or disputed charge reverses the partner share it produced, for both tiers. If that share was already paid out, it is deducted from your next payout. Earnings wait 30 days before they can be paid.

7. Payouts

• Payouts are made through Stripe once a month, in US dollars, when your balance is at least $25. A smaller balance rolls over.
• Payout countries: United States, Canada, United Kingdom, European Economic Area and Switzerland. Anyone can earn; receiving money needs a payout account in one of these.
• Unclaimed earnings expire. Earnings that are ready to pay but have no connected payout account expire 8 months after they became ready, and Adrien Marsden keeps them. Reminder emails are sent at 6 and 7 months.
• You are responsible for your own taxes. US partners provide a W-9 and receive a 1099 where the law requires one; partners elsewhere provide a W-8BEN or equivalent. Payouts are held, not withheld, while a required tax form is missing.

8. What partners agree to

• Say a post is an ad or contains a paid link, every time: “#ad” or “Paid partner” at the start of a caption, and said aloud in video. Use platform paid-partnership labels where they exist.
• Show the app as it is. No earnings claims, made-up results or reviews, or “free” for something that is not.
• No paid search ads on an app’s name, no ads or pages that look like they come from the app, no spam, fake accounts, coupon sites, or other people’s faces or takes without their permission.
• Breaking these can end the partnership, and earnings from the breach are void.

9. Buyout

• Owner buyout. Adrien Marsden may end your future earnings on your referred customers by paying a lump sum of 12 times your average monthly earnings over the previous three months, with 30 days’ written notice.
• Change of control. If an app is sold, the buyer may buy out partners on the same terms, or keep paying.
• Partner cash-out. You may ask to sell your future earnings for a lump sum of 8 times the same average. Adrien Marsden may accept or decline.
• Dormant end. Earnings on a customer stop if your partner account is closed or you break these terms.

10. Stripe

Payment processing services for partners on adrienmarsden.com apps are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a partner on adrienmarsden.com apps, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Adrien Marsden enabling payment processing services through Stripe, you agree to provide Adrien Marsden accurate and complete information about you and your business, and you authorize Adrien Marsden to share it and transaction information related to your use of the payment processing services provided by Stripe.

When you provide personal data in connection with partner payouts, Stripe receives that personal data and processes it in accordance with the Stripe Privacy Policy. For partners in Canada, Stripe can obtain information from credit agencies to verify your identity; that information is used for the purposes described in the Stripe Privacy Policy.

Adrien Marsden does not see your bank details and is not responsible for delays or errors on Stripe’s side.

11. Changes and ending the program

• The partner program is a limited-time offer. Its rates and terms can change for partners who join later.
• A change to rates or these terms is posted on this page 30 days before it takes effect, and applies only to partners who join after that date.
• Your rates and terms as a partner change only if both you and Adrien Marsden agree in writing. Email is enough.
• You can leave at any time. Earnings already due are paid on the normal schedule.
• Adrien Marsden may end a partnership or the program with 30 days’ notice, or at once for a breach of section 3 or 8.
• Ending a partnership or the program is not a change to its terms. When either ends without a breach, earnings on payments made up to the end date are paid on the normal schedule, after the usual 30-day wait. Payments after the end date earn nothing.
