Partner agreement

1. Who this is between

This agreement is between you and Adrien Marsden, who makes Widdle ("Widdle"). By ticking the box and joining the partner program you accept it. You must be 18 or older and able to enter a contract where you live.

There is nothing to buy and no fee to join. You earn only when someone subscribes to a Widdle plan through your link or code. For now, earnings come only from Widdle subscriptions bought on widdle.app; other apps, and any purchase made through the App Store, earn nothing under this agreement.

2. Your link and code

You get a personal invite link (widdle.app/thanks/your-name) and a personal code. A subscription counts as yours when the buyer used your code at checkout, or arrived through your link within 90 days and had no other code, or signed up through your link. A typed code wins over a link; a link wins over an earlier sign-up. Attribution is fixed at the buyer's first paid month and does not move afterwards.

Your own subscription, or one paid for with your own card or through your own code or link, earns nothing.

3. The two splits

Share a discount: people who subscribe through your code or link pay 15% less every month for as long as they stay subscribed, and you receive 20% of what they actually pay, net of tax.

Keep it all: people pay full price and you receive 35% of what they pay, net of tax.

You choose a split when you join. You may switch between the two splits (15% off for followers and 20% to you, or full price and 35% to you) at most once every 30 days. A switch applies to payments after it. Widdle may agree a different rate with you in writing; such a rate replaces the first-tier rate above and nothing else.

4. The second tier

If a person you brought to Widdle becomes a partner, you receive 5% of the net price paid on that partner's sales, on top of what they earn. This applies only to payments by subscribers; nothing is paid for signing someone up, for recruiting a partner, or for anything other than a customer's purchase. There is no third tier.

5. How long you earn

You earn on every payment a subscriber attributed to you makes, including renewals and plan changes, for as long as they keep paying. Earnings stop for a subscriber when they cancel. If they subscribe again later, attribution is decided again as in section 2.

Buyout. Widdle may end your future earnings on your subscribers by paying you a lump sum equal to [12] times your average monthly earnings over the previous three months, with 30 days' written notice. If Widdle is sold, the buyer may do the same or keep paying you. You may ask to sell your future earnings for a lump sum of [8] times the same average; Widdle may accept or decline. Your earnings on a subscriber also end if your account is closed or this agreement ends under section 10.

6. Refunds, disputes and tax

Earnings are calculated on the amount the subscriber paid after any discount and before sales tax or VAT. A refunded or disputed payment removes the earning it produced; if it was already paid out, the amount is deducted from your next payout. Earnings wait 30 days before they can be paid.

You are responsible for your own income tax and, where it applies, VAT, GST or HST on what you earn. Partners in the United States provide a W-9 through Stripe and receive a 1099 where the law requires one; partners elsewhere provide a W-8BEN or its equivalent. Payouts are held, not withheld, while a required tax form is missing.

7. Getting paid

Payouts are made through Stripe Connect, once a month, in US dollars, when your balance is at least $25. A smaller balance rolls over. You need a Stripe account in the United States, Canada, the United Kingdom, the European Economic Area or Switzerland to receive money; you can join and earn before connecting one.

Earnings that are ready to pay but have no connected Stripe account to go to expire 8 months after they became ready, and Widdle keeps them. Widdle will remind you by email before that happens. Stripe's own terms apply to your Stripe account; Widdle is not responsible for Stripe's delays or errors.

8. What you agree to do

Say that a post is an ad or contains a paid link, every time, where it can be seen or heard before the link: "#ad" or "Paid partner" at the start of a caption, and said aloud in video. Use platform paid-partnership labels where they exist.

Show Widdle as it is. No earnings claims, no made-up results or reviews, no promises the app does not keep, and no use of the word "free" for something that is not.

9. What you agree not to do

No paid search advertising on the name Widdle or close variants; no ads or pages that look like they come from Widdle; no spam, bought traffic, fake accounts, coupon or deal sites, or incentives for people to subscribe; no use of other people's faces, voices or takes without their permission; nothing unlawful, hateful or sexual in connection with Widdle.

Earnings that come from breaking this section are void, whether or not they have been paid.

10. Changes and ending the agreement

You can leave at any time from the Partner program screen; earnings already due are paid on the normal schedule. Widdle may end this agreement with 30 days' notice for any reason, and immediately if you break sections 2, 8 or 9, in which case unpaid earnings from the breach are void.

The partner program is a limited-time offer. Its rates and terms can change for partners who join later.

A change to the rates or the terms is posted on this page 30 days before it takes effect, and applies only to partners who join after that date. Your rates and terms change only if both you and Widdle agree in writing; email is enough.

Ending this agreement or the program is not a change to its terms. When either ends without a breach, earnings on payments made up to the end date are paid on the normal schedule, after the usual waiting period in section 6. Payments after the end date earn nothing.

11. Data, liability, law

Widdle keeps the data needed to run the program: your clicks, sign-ups and sales counts, your earnings and payout records, your Stripe account id and the status of your tax form. The privacy policy describes it. Widdle does not see your bank details.

The program is provided as it is. Widdle is not liable for lost earnings from outages, from changes to the app or its prices, or from a subscriber's cancellation. The law of the United States and the courts of the state where Widdle's owner resides apply, except where the law of your country of residence gives you rights that cannot be excluded.

12. Stripe

Payment processing services for Widdle partners are provided by Stripe and are subject to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal/full), which includes the Stripe Terms of Service (https://stripe.com/legal/ssa) (collectively, the "Stripe Services Agreement"). By agreeing to this agreement or continuing to operate as a Widdle partner, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Widdle enabling payment processing services through Stripe, you agree to provide Widdle accurate and complete information about you and your business, and you authorize Widdle to share it and transaction information related to your use of the payment processing services provided by Stripe.

When you provide personal data in connection with partner payouts, Stripe receives that personal data and processes it in accordance with the Stripe Privacy Policy (https://stripe.com/privacy). For partners in Canada, Stripe can obtain information from credit agencies to verify your identity; that information is used for the purposes described in the Stripe Privacy Policy.
